By accessing the website of Upgradebi ("Upgradebi," "we," "us") or entering into a Master Services Agreement (MSA) / Retainer Proposal with us, you agree to comply with and be bound by these Terms of Service.
Upgradebi provides professional digital marketing consulting, search engine optimization (SEO), paid advertising management (Google Ads & Meta Ads), web engineering, and creative media production. Specific campaign scopes, timelines, and deliverables are codified in your respective Statement of Work (SOW).
100% Client Ownership: Upon receipt of full payment for agreed milestones, all custom creative designs, copy, code modifications, and campaign structures produced exclusively for the client belong unconditionally to the client. Upgradebi claims no ongoing lock-in ownership over your Google Ads accounts, Meta Ads pixels, or domain properties.
Advertising spend (payable to Google, Meta, Microsoft, LinkedIn, or TikTok) is separate from agency management retainers and is billed directly to the client's corporate card or credit facility. Clients acknowledge that third-party ad networks maintain independent editorial guidelines, algorithmic auction mechanics, and policy enforcement outside Upgradebi's control.
Upgradebi strictly adheres to Google Search Essentials and Webmaster Guidelines. We do not use manipulative private blog networks (PBNs) or illicit ranking tactics. Because organic search algorithms and buyer auctions fluctuate dynamically, no ethical digital agency can guarantee specific #1 search rankings or exact revenue sums. We guarantee professional execution, transparent reporting, and adherence to proven industry best practices.
Agency retainers are invoiced in advance of each 30-day work sprint. Invoices are payable within 7 business days from the date of issue. In the event of unpaid balances, sprint work may be paused until settlement.
These Terms shall be governed by and construed in accordance with the laws of India. Any legal disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in Ranchi, Jharkhand, India.
